AI Coding Agent Consulting & Services Agreement

Welcome to AnyviaAI ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our AI coding agent consulting, training, code quality framework, and enterprise implementation services.

By engaging AnyviaAI's services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Eligibility

You must be:

  • At least 18 years old (or the legal age of majority in your jurisdiction)
  • Legally authorized to enter into binding contracts
  • Acting on behalf of yourself or an organization you are authorized to represent

2. Service Overview

AnyviaAI provides consulting and advisory services related to AI coding agents:

  • AI Agent Strategy & Audit: Evaluation of AI tooling, workflows, and code quality with actionable roadmaps
  • Code Quality Frameworks: Custom review processes, automated testing pipelines, and security scanning for AI-generated code
  • Team Training & Enablement: Hands-on workshops for prompt engineering, agent verification, and workflow integration
  • Enterprise Implementation: End-to-end deployment of AI coding agents at scale with governance and compliance

Important Service Limitations

  • Advisory Nature: AnyviaAI provides consulting guidance and recommendations. Implementation decisions and their outcomes remain the responsibility of the client.
  • No Code Ownership: Any code, frameworks, or configurations developed during engagements belong to the client unless otherwise specified in a separate agreement.
  • Third-Party Tools: We advise on the use of third-party AI tools (Claude Code, Cursor, Copilot, etc.) but do not control, warrant, or guarantee the output of these tools.

3. Intellectual Property

  • Client Work Product: Code, configurations, and deliverables created for a specific client engagement belong to the client.
  • AnyviaAI Methodologies: General frameworks, methodologies, training materials, and proprietary processes remain the intellectual property of AnyviaAI.
  • Shared Knowledge: General knowledge and best practices shared during training are provided for the client's internal use and may not be resold or redistributed.

4. Client Responsibilities

You agree that:

  • You are responsible for the implementation, testing, and deployment of any recommendations provided
  • You will provide timely access to necessary systems, codebases, and team members
  • You will ensure that AI tools are used in compliance with their respective terms of service
  • You are responsible for code quality, security, and compliance of your production systems
  • You will comply with all applicable data protection laws (GDPR, CCPA, etc.) regarding any data shared during engagements

5. Service Fees & Payment

  • Service fees are agreed upon before each engagement begins and specified in a separate Statement of Work
  • Payment terms are Net 30 unless otherwise specified
  • Travel expenses for on-site engagements are billed separately at cost
  • Fees are non-refundable once services have been delivered

6. Confidentiality

  • Both parties agree to keep confidential any proprietary information shared during the engagement
  • AnyviaAI will not share client code, architecture details, or business information without written consent
  • Clients agree not to share AnyviaAI's proprietary methodologies, training materials, or frameworks externally
  • Confidentiality obligations survive termination of the engagement for a period of 2 years

7. Termination

  • Either party may terminate an engagement with 14 days' written notice
  • Client is responsible for payment of services rendered up to the termination date
  • AnyviaAI reserves the right to terminate immediately if the client violates these Terms
  • All confidentiality obligations survive termination

8. Disclaimers

  • Services are provided "as is", without warranty of any kind
  • We do not guarantee specific results, productivity gains, or cost savings
  • We are not liable for any loss, data breach, downtime, or production issues resulting from implementation of our recommendations
  • AI Tool Limitations: We cannot guarantee the output quality, reliability, or security of third-party AI coding tools
  • Evolving Landscape: AI coding tools and best practices evolve rapidly. Recommendations are based on current knowledge at the time of engagement

9. Limitation of Liability

AnyviaAI's total liability for any claims arising from services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim. In no event shall AnyviaAI be liable for indirect, incidental, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold harmless AnyviaAI from any claims, damages, or legal actions arising from:

  • Your implementation of recommendations or frameworks
  • Use of AI-generated code in production systems
  • Violations of third-party tool terms of service
  • Security incidents related to your systems or AI-generated code

11. Changes to Terms

We may update these Terms at any time. We will notify active clients of material changes via email. Continued engagement constitutes acceptance of the updated Terms.

12. Governing Law & Dispute Resolution

  • Governing Law: These Terms shall be governed by the laws of the State of California
  • Jurisdiction: Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California
  • Arbitration: Both parties agree to resolve disputes through binding arbitration in San Francisco, California
  • Class Action Waiver: Both parties waive any right to participate in class action lawsuits or class-wide arbitration
