1. Eligibility

You must be:

• At least 18 years old (or the legal age of majority in your jurisdiction)
• Legally authorized to enter into binding contracts
• Solely responsible for ensuring your use of the Platform complies with local laws

2. Service Overview

AnyviaAI provides comprehensive app development and publishing services:

• AI-Powered App Creation: Guidance in using AI tools to generate production-ready code
• Expert Architecture Support: Senior engineer guidance for tech stack selection and best practices
• App Store Publishing: Complete publishing support for Apple App Store and Google Play Store
• Long-term Maintenance: Ongoing support for updates, bug fixes, and improvements
• Optional Managed Publishing: Publishing under AnyviaAI's infrastructure with revenue processing

Important Service Limitations

• AI Code Responsibility: AnyviaAI does not produce or own AI-generated code. Developer assumes full responsibility for reviewing, modifying, and ensuring the code complies with all applicable laws, including licensing and IP regulations.
• Managed Publishing Risk: Developer understands that Apps published under AnyviaAI's account are subject to strict review, and AnyviaAI reserves the right to suspend or remove any App at its sole discretion to protect platform integrity. Developer agrees to be solely liable for any regulatory, financial, or reputational consequences resulting from the App's behavior.
• High-Risk Apps: Apps involving financial services, healthcare, AI chatbots, or other regulated industries may be required to be published under the Developer's own account to mitigate legal and compliance risks.

3. App Ownership & Intellectual Property

• You (the "Developer") retain full ownership of your App, including intellectual property rights, unless explicitly transferred in writing.
• AnyviaAI acts as a service provider and publishing facilitator and does not claim ownership of your App or its content.
• When using our managed publishing service, apps may be published under our company developer accounts as a convenience, not as evidence of ownership.
• You maintain full control over your app's source code, features, and business decisions.

4. Developer Responsibilities

You agree that:

• You are fully responsible for the content, function, legality, and behavior of the App you develop.
• You will not create Apps that:
  • Violate intellectual property rights, platform rules, or applicable laws
  • Contain malware, harmful content, or violate user privacy
  • Are clones, templates, or low-quality submissions
• You will provide accurate App descriptions, metadata, and support information
• You will comply with third-party marketplace terms (e.g., App Store Review Guidelines, Google Play Developer Policies)
• You will actively participate in the development process and provide timely feedback
• User-Generated Content: If your App allows user-generated content, you are solely responsible for moderating and complying with applicable content regulations, including DMCA, Section 230, or similar frameworks. AnyviaAI does not monitor or moderate user content.
• Data Protection: You are responsible for ensuring your App complies with all applicable data protection laws (GDPR, CCPA, COPPA, etc.) and for obtaining necessary user consents.

5. Service Fees & Revenue Share

Development & Publishing Services

• Service fees are charged for AI guidance, expert support, and publishing assistance
• Fees are clearly communicated before service begins and may vary based on project scope
• Payment terms are specified in individual service agreements

Managed Publishing Revenue Share (Optional)

• When using our managed publishing service, you may monetize your App via in-app purchases, ads, or subscriptions
• Revenue collected via marketplaces or payment processors will be:
  • Received by AnyviaAI on your behalf
  • Distributed to you minus platform fees, transaction fees, and applicable taxes
• Default revenue share is: [Developer 80%] / [AnyviaAI 20%] (subject to change with notice)
• Payouts will be issued monthly (or as otherwise agreed) once thresholds are met

Payment Processing & Financial Regulations

• Revenue Processor Only: AnyviaAI operates as a revenue processor only and is not a bank, financial institution, or money transmitter
• Tax Responsibility: Developers are responsible for consulting their own tax/legal advisors regarding income and regulatory obligations
• Reporting Requirements: AnyviaAI may be required to issue tax forms (1099-K, 1099-NEC) for U.S. developers as required by law
• International Compliance: International developers are responsible for compliance with their local tax and financial regulations

6. Taxes and Reporting

• You are responsible for reporting and paying all taxes associated with your income from the Platform
• You agree to provide accurate tax forms (e.g., W-9, W-8BEN) when required
• AnyviaAI may withhold taxes as required by law
• Service fees are subject to applicable sales tax where required

7. Content License & Publishing Agreement

You grant AnyviaAI a non-exclusive, royalty-free license to:

• Use, reproduce, display, distribute, and promote your App solely to enable publishing and monetization
• Host your App binaries, metadata, images, and descriptions
• Publish your App under our developer accounts (when using managed publishing) on Apple App Store, Google Play Store, and other marketplaces
• Submit App updates, handle marketplace communications, and manage App Store compliance on your behalf
• Provide maintenance and support services as agreed upon

Apple App Store Compliance

For Apple App Store publishing, you specifically acknowledge and agree that:

• You grant AnyviaAI limited publishing rights to submit and distribute your App through Apple's ecosystem
• This agreement satisfies Apple's requirement that apps be "submitted by the person or legal entity that owns or has licensed the intellectual property"
• You retain full ownership of your App's intellectual property - this is a publishing facilitation agreement only
• We will clearly identify you as the App developer in all marketplace listings where permitted

Google Play Store Compliance

For Google Play Store publishing, you acknowledge that:

• We will act as your authorized publishing agent under Google's Developer Program Policies
• Your App must be functionally unique and not a clone or template reskin
• We maintain quality control standards to prevent spam and policy violations
• You remain responsible for compliance with Google's content policies

8. Quality Control & Compliance

To maintain our standing with Apple, Google, and other marketplace partners, AnyviaAI implements comprehensive compliance measures:

Quality Control Standards

• App Review Process: All submitted apps undergo review for marketplace compliance, functionality, and uniqueness
• Spam Prevention: We reject apps that are clones, templates, or low-quality submissions that could harm our developer account standing
• Content Screening: Apps are screened for copyright infringement, inappropriate content, and policy violations
• Monitoring System: We monitor published apps for user complaints, policy violations, and marketplace feedback

Marketplace Compliance Framework

• Apple Guidelines: Strict adherence to App Store Review Guidelines, including design standards and functionality requirements
• Google Policies: Compliance with Google Play Developer Policies, including content restrictions and technical requirements
• Legal Verification: IP ownership verification and publishing rights documentation for each submitted app
• Update Management: Coordinated app updates to maintain compliance with evolving marketplace policies

9. Maintenance & Support Services

Our long-term maintenance services include:

• Bug Fixes: Resolution of reported issues and technical problems
• Feature Updates: Implementation of new features and improvements
• Platform Updates: Ensuring compatibility with new OS versions and marketplace requirements
• Performance Optimization: Continuous improvement of app performance and user experience
• Security Updates: Implementation of security patches and vulnerability fixes

Maintenance services are provided according to the terms specified in your service agreement.

10. Termination & Removal

• You may request removal of your App from marketplaces at any time with 7 days' notice
• You may terminate maintenance services with 30 days' written notice
• AnyviaAI reserves the right to:
  • Refuse to publish any App for any reason
  • Remove published Apps that violate these Terms or third-party rules
  • Withhold payouts if fraudulent activity is detected
  • Terminate services for non-payment or violation of these Terms

11. Disclaimers

• We provide the Platform "as is", without warranty of any kind
• We do not guarantee marketplace approval, app performance, or revenue levels
• We are not liable for any loss, data breach, platform ban, or rejection related to your App
• Marketplace Risk: App Store and Google Play policies can change at any time. We cannot guarantee continued approval or compliance
• AI Tool Limitations: While we guide you in using AI tools, we cannot guarantee the quality or functionality of AI-generated code
• Content Liability: AnyviaAI is not responsible for user-generated content, data collection practices, or privacy violations within your App
• Financial Risk: AnyviaAI is not liable for financial losses, regulatory penalties, or tax consequences related to your App's revenue or business operations

12. Indemnification

You agree to indemnify and hold harmless AnyviaAI, its owners, and affiliates from any claims, damages, or legal actions arising out of your App, including:

• Copyright or trademark infringement
• Violations of user privacy or data laws
• Disputes with marketplaces or end users
• Marketplace violations or account suspensions resulting from your App's content or behavior
• Issues with AI-generated code or third-party AI tools

13. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or the Platform. Continued use constitutes acceptance of the updated Terms.

14. Governing Law & Dispute Resolution

• Governing Law: These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles
• Jurisdiction: Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California
• Arbitration: AnyviaAI and Developer agree to resolve disputes through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association
• Class Action Waiver: Both parties waive any right to bring or participate in class action lawsuits or class-wide arbitration
